Terms of Service
These Terms of Service (the "Terms") govern your use of the Marina mobile application and the websites operated by Marina Labs, Inc. ("Marina", "we", "us") (together, the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.
1. What Marina is
Marina is non-custodial software: an interface for viewing market data and for composing and signing transactions that you submit to public, third-party blockchain networks and trading protocols. We do not operate those networks or protocols, do not execute or settle trades, do not hold customer funds, and are not a counterparty to any transaction you make. Through the app you can trade perpetual futures, spot assets, and outcome contracts available on those protocols.
2. Eligibility
You must be at least 18 years old and legally able to enter into these Terms. You may not use the Services if you are located in, or are a resident or national of, any jurisdiction subject to comprehensive sanctions, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Sevastopol regions of Ukraine, or if you appear on any sanctions or restricted-party list maintained by the United States, the United Kingdom, the European Union, or the United Nations. You are responsible for ensuring that your use of the Services, and of any product available through them, is lawful where you live.
Some features are not available in some places. If you are located in, or are a resident of, one of the places below, the matching feature is not offered to you, and the app shows it as view-only:
- Trading (perpetual futures, spot, and outcome contracts): the United States, Ontario (Canada), the United Kingdom, Myanmar, and every jurisdiction named in the paragraph above.
- Outcome contracts, in addition to the above: Australia, Belarus, Belgium, Brazil, Burundi, the Central African Republic, the Democratic Republic of the Congo, Ethiopia, France, Germany, Hungary, India, Indonesia, Iraq, Ireland, Italy, Japan, Lebanon, Libya, Malta, the Netherlands, New Zealand, Nicaragua, Poland, Portugal, Romania, Russia, Singapore, Slovakia, Somalia, South Korea, South Sudan, Spain, Sudan, Switzerland, Taiwan, Thailand, Ukraine, United States Minor Outlying Islands, Venezuela, Yemen, Zimbabwe, and the Canadian provinces of Alberta, British Columbia, and Quebec.
We may change these lists at any time and may use any measures we consider appropriate to enforce them. You agree not to circumvent any restriction, for example by using a VPN or misrepresenting your location.
3. Self-custody and security
You control your own wallet and keys. Private keys and seed phrases are never transmitted to us, and we cannot access, freeze, recover, or return funds. Orders are authorized by session keys that you approve and can revoke at any time; you are responsible for safeguarding your device, your keys, and anything signed with them. Transactions on blockchain networks are irreversible.
4. Fees
The protocols and networks you interact with charge their own fees, and Marina may add a fee to orders placed through the interface. Applicable fees are reflected in the app before you confirm an order and may change over time.
5. Assumption of risk
Trading digital assets involves substantial risk, and you can lose everything you commit. Prices are volatile; leveraged products such as perpetual futures can be liquidated automatically and can lose their entire value quickly; blockchain networks and protocols can fail, be congested, or be exploited. Digital assets are not legal tender, are not backed by any government, and balances are not covered by FDIC or SIPC insurance or any similar protection. You use the Services at your own risk and are solely responsible for evaluating every transaction before you sign it.
6. Outcome contracts
Outcome contracts are created, listed, and resolved by third parties on the underlying protocol, not by Marina. Each contract pays a fixed amount if its outcome occurs and nothing if it does not, so you can lose the full amount you pay. Results, timing, and settlement follow the rules and data sources the contract's creator sets, and may be delayed, disputed, or voided. Liquidity can be thin, and you may be unable to sell before settlement. Market names, descriptions, and prices shown in the app come from those third parties and may be incomplete or wrong. We choose which markets appear in the app and may stop showing any market at any time.
7. No advice; no brokerage
Marina is not registered or licensed with any financial regulatory authority, and nothing in the Services is investment, legal, accounting, or tax advice. Market data, prices, and any other information are provided for convenience, may be delayed or wrong, and must not be relied on as a recommendation to transact. You alone decide whether any transaction is suitable for you.
8. Prohibited use
- Using the Services in violation of any law, sanction, or these Terms.
- Market manipulation of any kind, including wash trading and spoofing.
- Trading outcome contracts on, or sharing, material non-public information, or trading on an event you can influence or that your employer, team, league, or governing body forbids you to trade.
- Money laundering, terrorist financing, or transacting in proceeds of crime.
- Attacking, probing, reverse engineering, scraping, or disrupting the Services.
- Misrepresenting your location or identity to evade restrictions.
9. Intellectual property
The Services, including the Marina name, mark, and app, are owned by Marina Labs, Inc. and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the app for personal, non-commercial purposes. All other rights are reserved.
10. Third-party services
The Services depend on and link to third-party networks, protocols, data sources, and software that we do not control and are not responsible for. Your use of them is at your own risk and may be subject to their own terms.
11. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA DISPLAYED WILL BE ACCURATE OR TIMELY.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARINA LABS, INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DIGITAL ASSETS, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
13. Indemnification
You will indemnify and hold harmless Marina Labs, Inc. from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms or applicable law.
14. Taxes
You are solely responsible for determining, reporting, and paying any taxes that apply to your transactions.
15. Changes and termination
We may modify the Services or these Terms at any time; updated Terms take effect when posted here, and your continued use constitutes acceptance. We may suspend or terminate access to the Services at any time. Because Marina is non-custodial, termination never affects your control of your own wallet and funds.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Any claim must be filed within one year of the events giving rise to it. You and Marina each waive any right to a jury trial and to participate in a class action.
